1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or representing an organization, "Client") and Node Prismbase ("Company", "we", "us", or "our"), regarding your access to our website (node-prismbase.click) and our professional DevOps consulting and software engineering advisory services.

By engaging our consulting services or browsing this website, you confirm your acceptance of these Terms. If you do not agree to these Terms, you must refrain from using our advisory services.

2. Nature of Professional Consulting Services

Node Prismbase provides specialized advisory services in software engineering, continuous integration and delivery (CI/CD) pipeline architecture, infrastructure as code governance, and operational observability. All recommendations, architecture decision records, and configuration templates are provided on a professional advisory basis.

3. Intellectual Property Rights

Client Code & Repositories: The Client retains exclusive, unencumbered ownership and intellectual property rights over all proprietary application code, infrastructure credentials, and internal technical assets shared with Node Prismbase during consulting engagements.

Consulting Deliverables: Upon receipt of full payment for agreed consulting milestones, the Client receives a perpetual, non-exclusive, worldwide license to utilize, modify, and distribute all customized configuration scripts, documentation, and architectural blueprints produced specifically for the Client.

Pre-Existing Frameworks: Node Prismbase retains ownership of pre-existing diagnostic methodologies, assessment matrices, and generalized software tooling developed independently of specific client engagements.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all non-public technical, architectural, operational, and commercial information as strictly confidential. Node Prismbase will not disclose client repository contents, infrastructure topologies, or security configurations to any third party without express written consent.

5. Limitation of Liability

To the maximum extent permitted by applicable law in Taiwan:

• Node Prismbase shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, data corruption, or operational interruptions resulting from the execution of advisory recommendations.
• Our aggregate liability for any claims arising from a consulting engagement shall not exceed the total fees paid by the Client to Node Prismbase under the applicable Statement of Work in the three (3) months preceding the incident.

6. Informational Pricing

Rates and estimates presented on this website are informational and subject to formal Statement of Work (SOW) confirmation based on client system complexity, repository scale, and delivery timelines.

7. Governing Law & Jurisdiction

These Terms and all consulting agreements shall be governed by and construed in accordance with the laws of Taiwan (Republic of China). Any legal dispute or controversy arising under or relating to these Terms shall be submitted to the exclusive jurisdiction of the district courts of New Taipei City, Taiwan.
